Welcome to ShopR Inc. ("ShopR," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of ShopR's app and website, including any content, functionality, and services offered. ShopR is a software company focused on developing a virtual reality shopping platform. We connect buyers and sellers in an immersive virtual mall. ShopR acts as a facilitator for transactions between users and merchants and does not own any products sold on the platform.

By using the ShopR app or website, you represent and warrant that you are of legal age in your jurisdiction and are capable of entering into a binding agreement. You also confirm that your use of our services complies with all applicable laws and regulations.

You agree to use our services in accordance with the following rules:

• Do not store, collect, or retain content from the app in a separate destination that replicates substantially the material offered by the app.

• Do not engage in any conduct that constitutes a criminal offense or gives rise to civil liability.

• Do not attempt to gain unauthorized access to our computer systems or those of our affiliates.

• Do not use the app in any way that interferes with, disrupts, or negatively impacts the functionality or integrity of the app or its users.

ShopR has no obligation to monitor user activity or content on the app but reserves the right to do so. We may disclose any information as necessary to comply with laws, regulations, or governmental requests, to ensure the app operates properly, or to protect our rights and the rights of our users. The ShopR app and all content, functions, and materials are provided "as is" without warranties of any kind, either express or implied. This includes, without limitation, any warranties of title, non-infringement, merchantability, or fitness for a particular purpose. We do not guarantee that the app will be timely, secure, uninterrupted, or error-free or that defects will be corrected. Your use of the app is at your own risk.

In no event shall ShopR, its directors, officers, employees, agents, affiliates, or content or service providers be liable for any indirect, special, incidental, consequential, exemplary, or punitive damages arising from or directly or indirectly related to your use of the app or the content therein. Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so these limitations may not apply to you. In no event shall the total liability of ShopR exceed the greater of the amounts paid by you to ShopR or $10.00 USD.

You agree to indemnify and hold ShopR, its officers, directors, employees, agents, affiliates, and partners harmless from any claims, damages, losses, liabilities, or expenses (including legal fees) arising out of or in connection with your use of the app or violation of these Terms.

Our app may contain links to third-party websites or services that are not owned or controlled by ShopR. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that ShopR is not responsible or liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party content, goods, or services.

ShopR reserves the right to modify, suspend, or discontinue any part of the app or services at any time without notice. We may also impose limits on certain features or restrict access to parts of the app without liability.

ShopR may, in its sole discretion, terminate or suspend your access to the app without prior notice if we believe you have violated these Terms or other policies. We may also terminate your access to the app for any reason, including inactivity or violation of applicable laws.

These Terms and your use of the app are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in Richmond, Virginia, before a single arbitrator. Each party shall bear its own costs unless otherwise ordered by the arbitrator.

You hereby waive any right to a trial by jury in any legal proceeding arising out of or related to these Terms or the transactions contemplated herein.

If any provision of these Terms is deemed unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

ShopR may send you updates or information regarding the app to your registered email address. These communications will contain important information about the app and are considered part of your use of our services.
